Notice of General Meeting/Proxy Form

Notice of General Meeting:

VRX Silica Limited will hold a General Meeting on Thursday, 30 April 2026, at Suite 9, 110 Hay Street, Subiaco, WA 6008, starting at 11.00am (WST). Shareholders are encouraged to attend in person. A personalised proxy form has been sent to Shareholders for voting at the Meeting. Shareholders must be registered by 5.00pm (WST) on Tuesday, 28 April 2026, to be eligible to vote. Voting will be conducted by poll at the Meeting and via valid proxy forms.

Agenda:

Resolution 1: Ratification of the prior issue of Placement Shares

This resolution seeks Shareholder approval to ratify the issue of 28,477,778 Shares under Listing Rule 7.1. The Placement Shares were issued to investors and Director Bruce Maluish. The funds raised are intended for the development of the Arrowsmith North Silica Sand Project and general working capital.

Resolution 2: Approval of the issue of Director Placement Shares

This resolution seeks approval for the issue of up to 694,444 Shares to Bruce Maluish under Listing Rule 10.11. Shareholders are urged to vote in favor of both resolutions.

Pertinent Information:

The Chair will vote undirected proxies in favor of each resolution. Shareholders are advised to appoint proxies in advance and lodge them with the Company no later than 48 hours before the Meeting. Corporate representatives must provide evidence of appointment to the Company Secretary before 5.00pm (WST) on 29 April 2026.
