Proposed issue of securities - VRX

In our recent announcement dated 27/5/2026, VRX Silica Limited proposes the issuance of a total of 155,804,987 fully paid VRX ordinary shares and 77,902,494 options exercisable at $0.10 expiring on 30 June 2028. The ex-date is set for 1/6/2026, the record date for 2/6/2026, and the offer closing date for 19/6/2026, with the issue date on 26/6/2026. This standard pro rata issue aims to fund activities at our Arrowsmith North silica sand project, Muchea silica sand project, purchase of Arramall farm, and working capital needs. The offer is made in AUD, with an offer price of AUD 0.04000 per security for retail holders. Individual over-subscription is allowed with details of scale back arrangements provided in consultation with the underwriter, Mahe Capital Pty Ltd, who will also underwrite $2,000,000 of the offering. Shareholders in Australia, New Zealand, Germany, and the UK are eligible to participate, with certain restrictions on eligible beneficiaries residing outside these countries.
